NAIROBI, Kenya, May 14 \u2014 Kenya\u2019s nonprofit and civil society sector is entering a new legal era following the rollout of the Public Benefit Organizations (PBO) Regulations, 2026, which operationalize the Public Benefit Organizations Act, 2013.<\/strong><\/p>\n

The regulations, approved by Parliament in April 2026, officially replace the old NGO Coordination Regulations of 1992 and establish a new framework for the registration, oversight and management of nonprofit organizations operating in Kenya.<\/p>\n

Here is what the new regulations mean for NGOs, charities, foundations and international organizations.<\/p>\n

1. NGOs will automatically transition into PBOs<\/h2>\n

Organizations previously registered under the repealed NGO Coordination Act of 1990 will not need to apply for fresh registration.<\/p>\n

Instead, they will automatically transition into the new Public Benefit Organization framework under Regulation 43.<\/p>\n

However, organizations must still submit updated documentation to the Public Benefit Organizations Regulatory Authority (PBORA), including:<\/p>\n

Updated constitutions<\/p>\n

Governance details<\/p>\n

Minutes approving the transition<\/p>\n

Existing NGO registration certificates<\/p>\n

PBORA will then issue new certificates reflecting their updated PBO status.<\/p>\n

\nPublic Benefit Organizations Authority directs NGOs to update records under new PBO law<\/a>\n<\/div>\n

2. New governance rules for organizations<\/h2>\n

The regulations introduce stricter governance requirements for organizations seeking registration.<\/p>\n

Every organization must:<\/p>\n

Have at least five directors<\/p>\n

Ensure that not more than three directors are related<\/p>\n

Ensure at least one-third of directors are Kenyan residents<\/p>\n

Organizations are also required to disclose:<\/p>\n

KRA PINs<\/p>\n

National IDs or passport details<\/p>\n

Physical addresses<\/p>\n

Phone numbers and email contacts of officials<\/p>\n

3. Wider oversight and reporting obligations<\/h2>\n

Under the regulations, PBOs must maintain updated records including:<\/p>\n

Audited accounts<\/p>\n

Annual financial statements<\/p>\n

Asset inventories<\/p>\n

Annual activity reports<\/p>\n

Organizations must also notify PBORA whenever they make \u201cmaterial changes,\u201d including:<\/p>\n

Changes in directors or officials<\/p>\n

Constitutional amendments<\/p>\n

New banking arrangements<\/p>\n

Address changes<\/p>\n

Changes in authorized agents for international organizations<\/p>\n

Some changes must be reported within 30 days, while others have a 60-day reporting window.<\/p>\n

4. Annual reporting is now mandatory<\/h2>\n

Every registered PBO must submit annual reports to the Authority using prescribed forms.<\/p>\n

Failure to comply with reporting obligations could expose organizations to investigations, sanctions or deregistration.<\/p>\n

The Authority has also been granted powers to conduct inquiries into:<\/p>\n

Financial irregularities<\/p>\n

Non-compliance with the law<\/p>\n

Governance disputes<\/p>\n

Suspicious activities<\/p>\n

5. Tougher deregistration and compliance measures<\/h2>\n

PBORA can deregister organizations if they:<\/p>\n

Fail to comply with the law<\/p>\n

Remain inactive for three years<\/p>\n

Engage in money laundering or economic crimes<\/p>\n

Violate Kenyan laws<\/p>\n

Before deregistration, organizations must be notified and given an opportunity to respond or correct violations.<\/p>\n

The regulations also require organizations to maintain proper records of assets and ensure all resources are used strictly for public benefit purposes.<\/p>\n

6. PBOs can engage in business activities<\/h2>\n

One of the notable changes is that PBOs will now be allowed to engage in lawful economic activities to support their charitable work.<\/p>\n

However, organizations must:<\/p>\n

Obtain necessary licenses<\/p>\n

Follow sound financial practices<\/p>\n

Ensure profits are only used to support public benefit activities<\/p>\n

7. New fees introduced<\/h2>\n

The regulations introduce a new fee structure for registration and compliance services.<\/p>\n

Some of the charges include:<\/p>\n

Sh25,000 for registration as a national PBO<\/p>\n

Sh45,000 for registration as an international PBO<\/p>\n

Sh2,000 annual reporting fee<\/p>\n

Sh4,000 fee for changing officials or constitutions<\/p>\n

Sh15,000 fee for changing an organization\u2019s name<\/p>\n

8. Recognition of self-regulation forums<\/h2>\n

The regulations formally recognize self-regulation forums for nonprofit organizations.<\/p>\n

A forum must consist of at least 10 registered PBOs operating within related sectors or regions.<\/p>\n

Federations of forums can also be established if at least five forums come together.<\/p>\n

9. Increased transparency requirements<\/h2>\n

Organizations are now expected to make their activities accessible to stakeholders upon request, except for proprietary or personal information.<\/p>\n

The regulations also emphasize compliance with Kenya\u2019s data protection laws.<\/p>\n

10. Why the regulations matter<\/h2>\n

The 2026 Regulations are the first comprehensive implementation framework for the PBO Act, which was passed in 2013 but remained largely dormant for years.<\/p>\n

The government says the framework is intended to:<\/p>\n

Improve accountability<\/p>\n

Strengthen governance<\/p>\n

Enhance transparency in donor-funded organizations<\/p>\n

Standardize nonprofit operations<\/p>\n

Reduce risks related to terrorism financing and financial crimes<\/p>\n
